The short version
You're buying a license to use our software, not the software itself. Keep your subscription current and it keeps working. Your audio stays on your own computer — we never receive it. If your subscription ends, the app stops opening, and we build it so that a license check never stops a broadcast that's already running.
This summary is here to be readable, not to be the contract. Where it and the sections below differ, the sections below govern.
1. Who we are and what this covers
SungTech LLC ("we", "us") is a Utah limited liability company. These terms apply to our software, including LiveStream AutoMixer ("LAM"), and to the licenses we sell for it. Our Privacy Policy is part of these terms.
If you're agreeing on behalf of a church, business, or other organization, you're confirming you have the authority to do so, and "you" means that organization. You also need to be old enough to enter into a contract where you live.
2. How you accept these terms
You accept these terms in two places: when you subscribe, by ticking the box at checkout, and when you first run the software, by ticking the box there. We keep a record of each acceptance — when it happened, and which version of these terms was in force at that moment.
Often those are two different people — a treasurer pays, a volunteer installs. Each of them is accepting on behalf of your organization, and either acceptance binds it.
Every version of these terms carries a version identifier, shown at the top, and stays available at its own permanent web address, so you can always read the exact version that applied to you. Section 20 explains what happens when we change them.
3. Your license
We grant you — the person or organization named on the subscription — a limited, non-exclusive, non-transferable license to install and use the software while your subscription is active. The software is licensed, not sold.
- One computer per license. Each license activates one machine at a time. If you replace or rebuild that machine, email us and we'll move your license to the new one. We may limit how often a license moves if it starts to look like it's being shared.
- The plan you bought. Your license covers the plan you purchased, as described at checkout, including its channel capacity.
- Your own use. Use it for your own livestreams and productions, as many as you like. If you're an organization, your staff and volunteers may use it on the licensed computer for your productions. Don't resell it, rent it out, or run it as a service for others.
4. Free trial
We offer a 30-day free trial, and we don't ask for a card to start it. The trial begins when you first activate the software, not when you sign up — so you get the full 30 days even if it takes you a while to install it.
Before the trial ends, you'll get an email with a link to add payment details if you want to continue. If you do nothing, nothing happens: the trial simply expires and you are not charged.
One trial per customer and per computer. We may end a trial that's being used to avoid paying for the software.
5. Prices and price changes
Your price is the price shown when you subscribed, plus any tax collected at checkout.
We may change prices for future billing periods. If we do, we'll email you 30 days before the change takes effect, and you can cancel before then if you'd rather not continue.
Founding-member rate. If you locked in a founding-member price, we'll keep it for as long as your subscription stays active without a gap. If you cancel and subscribe again later, the price in effect at that time applies.
6. Payment and billing
Automatic renewal. Subscriptions are billed in advance and renew automatically at the end of each billing period — monthly for monthly plans, yearly for annual plans — at your price under section 5, until you cancel. You can cancel at any time; see section 7.
For annual plans, we'll email you before each renewal with the date, the amount, and how to cancel.
Who takes your money. Purchases are processed by Link, a Stripe service, which acts as the merchant of record for the sale. This means your receipt, your card statement, and your subscription-management page will show Link rather than SungTech LLC. It's still us — Link handles the transaction on our behalf, and calculates and collects any applicable sales tax at checkout.
Which agreement covers what. Link's terms govern the payment transaction itself — the charge, the card on file, the receipt. These terms govern your license and the software. If you're not sure who to ask about something, ask us.
Cancelling and managing your subscription. You can cancel at any time, without giving a reason, at sungtech.io/cancel. It takes one click and you don't need an account number. You can also email us at sungaiza@sungtech.io. Your receipts, invoices, and saved payment method live in your Link account at app.link.com.
Refunds
Because you get a full 30 days to try the software before paying anything, we generally don't refund a period that has already started. Two exceptions:
- If you were charged after you meant to cancel, tell us within 30 days of the charge and we'll refund that period.
- If the software doesn't work on a system we support and we can't fix it, tell us within 30 days of the charge and we'll refund that period.
Annual subscriptions aren't pro-rated if you cancel mid-term, but your license stays active until the end of the term you paid for. Refunds are issued through Link — email us and we'll take care of it. Link also handles some refund requests directly under its own terms, so you may occasionally hear back from Link rather than from us.
7. Cancelling, and what happens afterward
You can cancel whenever you like, at sungtech.io/cancel or by emailing us. Your license stays active through the end of the period you've already paid for, and it won't renew after that. We don't charge a cancellation fee.
When a subscription ends, the software stops opening. It does not delete your profiles, settings, or files — if you subscribe again later, everything is where you left it.
8. How license checks work
Licensing should be invisible on a Sunday morning, so we build the software around a few rules:
- It is designed never to interrupt audio that's already running. A license check can prevent the app from starting; it is not designed to stop a broadcast in progress.
- It is built to work offline. The software validates in the background and keeps a signed offline license, so a dropped internet connection doesn't stop you. The offline grace period is currently 30 days; we'll tell you before we change it.
- We warn you first. If a subscription is lapsing or a license is about to expire, the software tells you well ahead of the day, rather than on the day.
These are commitments about how we build the software. They aren't a guarantee that software, hardware, or an operating system will never fail. If licensing ever does interrupt a broadcast, tell us: we'll extend your subscription to cover the affected period at no charge. That is your remedy if it happens.
To make these checks work, the software periodically contacts our licensing provider with your license key and an identifier for your computer. It does not send your audio. See our Privacy Policy for details.
9. Your audio and your content
LAM runs on your computer. It does not transmit your audio to us, and we have no access to it. Logs and diagnostic files are written to your own disk and stay there unless you choose to send them to us for support.
That describes LAM as we ship it. It doesn't cover the other software on your machine, your network, or the platform you stream to — those are between you and whoever provides them.
You keep all rights to everything you produce with the software. We claim nothing in your recordings, streams, or broadcasts.
10. Updates and system requirements
Your subscription includes updates released while it's active. We'll tell you what's changed, and the software won't interrupt you to install one — we don't push an update on you while you're setting up or running a broadcast. You choose the moment.
Choosing when to update isn't the same as staying on an old version forever. We support the current release and the one before it. If you've fallen several versions behind, we may ask you to update before we can help — often because the fix is already in a release you haven't installed.
System requirements are as described on livestreamautomixer.com. They may change as the software develops and as Apple changes macOS.
11. Support
Support is by email, and a real person answers. We're a small company, not a 24-hour help desk. We try to respond quickly and we prioritize anything that's stopping a broadcast, but we don't promise a fixed response time.
12. What you may not do
- Copy, share, or resell the software or your license key.
- Reverse engineer, decompile, or attempt to derive the source code, except where the law expressly permits it.
- Work around, disable, or tamper with licensing or activation.
- Remove or obscure any notice of ownership in the software.
- Use or export the software in violation of US export control or sanctions law.
13. Beta and pre-release versions
From time to time we make beta or pre-release builds available outside the standard release channel. Those builds are works in progress, provided as-is, and may behave unpredictably. Please don't rely on one for anything you can't afford to have go wrong, and tell us when it does — that's what it's for.
This section applies only to builds we label beta or pre-release. Your subscription to the shipping release is covered by the rest of these terms in full.
14. Feedback
If you send us feedback, ideas, or feature requests, we can use them freely to improve the software, with no obligation to you and without affecting anything you own.
15. Ownership and third-party components
The software, its design, and its underlying methods remain the property of SungTech LLC. Patent pending. LiveStream AutoMixer™ is our trademark. Nothing in these terms transfers ownership of anything to you beyond the license described in section 3.
The software includes third-party components licensed under their own terms, and those terms govern those components. The list is at sungtech.io/acknowledgements.
16. No warranty
We work hard to make the software reliable, and we use it ourselves every week in live services. Even so, it is provided "as is", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that it will be uninterrupted or error-free, or that it will suit every room, board, or workflow.
Live production carries risk. We recommend keeping a way to get audio to your stream without LAM — for example, a direct feed from your board to your streaming computer that you can switch to — just as you would keep a spare for any other single point of failure in the chain.
17. Limitation of liability
To the fullest extent the law allows, and whatever the legal theory, SungTech LLC is not liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost recordings, lost viewers, or missed broadcasts, arising out of or relating to the software — even if we were told those damages were possible.
Our total liability for all claims relating to the software is limited to the greater of (a) the amount you paid for the software in the twelve months before the claim arose, and (b) US $100.
Nothing in these terms limits liability that can't be limited by law, including for fraud, willful misconduct, or death or personal injury caused by our negligence. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.
18. Covering us for your own use
You'll cover us for claims, damages, and reasonable costs that arise from what you produce with the software, or from using it in a way these terms or the law prohibit. We'll tell you promptly about any such claim and give you the chance to take the lead in handling it.
19. Suspension
We may suspend or end a license if payment fails or is charged back and isn't resolved, or if the software is being used in a way these terms prohibit. Except in cases of clear abuse, we'll contact you first and give you a fair chance to put it right.
20. Changes to these terms
We'll give each update a new version identifier and change the "last updated" date above. The version we're replacing stays available at its own permanent address.
If a change is material, we'll email current subscribers at least 30 days before it takes effect, and it will apply to you from your first renewal after that notice period ends — so you can always cancel first if you'd rather not accept it. Minor changes, like fixing a typo or clarifying wording, take effect when we post them.
21. Working it out
If something goes wrong, email us first and give us 30 days to sort it out. Most things end there.
If we can't resolve it that way, either of us can go to court — and either of us can bring a claim in small claims court instead, wherever that's available.
22. Governing law
These terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. Any dispute that isn't resolved under section 21 will be brought in the state or federal courts located in Utah, and we each agree to those courts. To the extent the law allows, we each give up the right to a jury trial.
23. The fine print that makes the rest work
- The whole agreement. These terms and our Privacy Policy are the entire agreement between us about the software, and they replace anything said or written beforehand, including on our websites.
- If part of this doesn't hold up. If any part of these terms is unenforceable, the rest still applies, and that part is narrowed to what the law allows rather than removed entirely.
- What survives. Sections 6 (refunds), 9, 12, 15, 16, 17, 18, and 21 to 23 continue to apply after your subscription ends.
- Not enforcing something isn't giving it up. If we don't enforce part of these terms right away, we haven't waived it.
- Things outside our control. Neither of us is responsible for delays or failures caused by events beyond our reasonable control.
- Transfers. We may transfer these terms in connection with a merger, acquisition, or sale of our business or assets. You can't transfer them without our written consent.
- Notices. We'll send notices to the email address on your subscription, and that counts as reaching you — so please keep it current. You can reach us at sungaiza@sungtech.io.
- No partnership. These terms don't make us partners, and neither of us can act on the other's behalf.
